Terms & Conditions  

Definitions

1.1 In these Terms and Conditions the following words have the following meanings:

"Application Form" means the form, which the Member must complete to apply for a partnerCard.

"Benefits" means the benefits set out on the Website that the Member will obtain by using a partnerCard.

"Member" means a person to whom MILLENNIUM partnerCard has issued a partnerCard in accordance with these terms and conditions.

"Millennium & Copthorne Group" means all members of the Millennium & Copthorne group, including without limitation Millennium & Copthorne Hotels plc and its subsidiaries.

"MILLENNIUM partnerCard" means MILLENNIUM partnerCard Services Limited, (the operator of the partnerCard), whose registered office is Victoria House, Victoria Road, Horley, Surrey RH6 7AF (registered in England No 04592831).

"Participating Hotel" means a hotel, which is a participant in the partnerCard scheme at the time of the Member's stay or use of its Restaurant. A list of these hotels can be found on the Website. Please note that a Participating Hotel may not necessarily be in the Millennium & Copthorne Group and not all members of the Millennium & Copthorne Group are Participating Hotels.

"partnerCard" means the loyalty card issued by Millennium & Copthorne Hotels to the Member, which a Member can use at a Participating Hotel to earn and redeem Rebates and the Benefits, in accordance with these Terms and Conditions.

"Rebate" means the credit of three percent (3%) (or as varied from time to time in accordance with these Terms and Conditions) that the Member will obtain in return for using a Participating Hotel subject to the Member using the partnerCard in accordance with these Terms and Conditions.

"Restaurant" means any food and beverage outlet in a Participating Hotel.

"Website" means www.millenniumhotels.com/partnercard (as varied from time to time).

Terms and Conditions

These Terms and Conditions set out the terms and conditions on which Members may use their partnerCard and will apply to the exclusion of all other terms and conditions. These Terms and Conditions may be supplemented by details in MILLENNIUM partnerCard's marketing materials and the Website (which set out details such as Participating Hotels and Benefits). However if there is any conflict and ambiguity between these Terms and Conditions and any of MILLENNIUM partnerCard's marketing materials or the Website, these Terms and Conditions shall prevail.

Applying for a PartnerCard
1.1 An Application Form must be completed and submitted by the prospective Member. Application Forms are available by one of the following means:
(a) via the Website;
(b) picking up a PartnerCard leaflet at any Participating Hotel;
(c) telephoning MILLENNIUM partnerCard; or
(d) asking a Participating Hotel for an Application Form
A completed Application Form must be returned to the address stated on the Application Form.

1.2 MILLENNIUM partnerCard has an absolute discretion whether or not to accept an application. If MILLENNIUM partnerCard accepts a Member's Application Form MILLENNIUM partnerCard will issue a partnerCard to the Member. If an application has been unsuccessful MILLENNIUM partnerCard will notify the prospective Member that their Application Form has not been accepted.

1.3 Once a prospective Member has submitted his/her Application Form but before MILLENNIUM partnerCard has accepted that prospective Member's application (and issued a partnerCard to Member under Clause 3.2 above), MILLENNIUM partnerCard may issue a temporary partnerCard to that prospective Member. Such a prospective Member may use the temporary partnerCard pending processing of his/her Application Form to earn Rebates in accordance with these Terms and Conditions. Such a prospective Member cannot use a temporary partnerCard to redeem a Rebate. When a permanent partnerCard is issued to that prospective Member or that prospective Member's application is unsuccessful, that prospective Member's temporary partnerCard will cease to be valid for use. Any Rebates earned on a Member's temporary partnerCard will be transferred to the Member's permanent partnerCard if and when a permanent partnerCard is issued. If a prospective Member's application is unsuccessful then that prospective Member may not redeem any Rebate that has accrued on the temporary partnerCard that had been issued.

The Benefits of Using a PartnerCard

1.4 Subject to the Member quoting his/her partnerCard number on booking into a Participating Hotel and presenting the partnerCard at that Participating Hotel the Member will be entitled to Benefits. Benefits cannot be obtained retrospectively. Benefits vary depending on the Participating Hotel. Full details of the Benefits available at each Participating Hotel are set out at the Website. The Participating Hotels act only as MILLENNIUM partnerCard's agents for the purpose of providing Benefits, therefore MILLENNIUM partnerCard (and not the Participating Hotel) is solely responsible to Members for the provision of Benefits.

How to earn a Rebate

1.5 Each time a Member stays or dines at a Participating Hotel that Member will have his/her partnerCard credited with a Rebate of three percent (3%) of the total value (including tax but excluding gratuities) of the Member's hotel bill, or if Member is just dining three per cent (3%) of the total value of the Restaurant bill (excluding any gratuities) subject to the Member complying with these Terms and Conditions.

1.6 To obtain a Rebate where the Member is staying at a Participating Hotel the Member must do the following:
(a) Provide his/her number on booking the Participating Hotel;
(b) Present his/her PartnerCard on check-in;
(c) Present his/her PartnerCard on check out before payment of the Participating Hotel's bill.

1.7 To obtain a Rebate where the Member is dining at a Restaurant (and the Member is not staying at the Participating Hotel or the Restaurant bill is not to be included in the Member's bill at the Participating Hotel) the Member must do the following:
(a) Provide his/her PartnerCard number on booking the Restaurant;
(b) Present his/her PartnerCard before paying the Restaurant bill.

1.8 Rebates can only be credited to a Member's partnerCard against the amount (excluding gratuities) that the Member pays in person (by cash, cheque or credit/charge/debit card) on checkout from the Participating Hotel or at the Restaurant as relevant.

1.9 Group Bookings. Rebates will also be credited to a Member's partnerCard against the amount spent for up to three (3) hotel rooms (but no more than three (3) stayed in at the same time, provided that each of these rooms are booked in the name of that Member, is paid for personally by that Member on checkout and shall be subject to the other Terms and Conditions. Rebates will otherwise only be credited on the bill arising from a room in the Participating Hotel in which the Member is personally staying or when the Member is personally dining in a Restaurant.

1.10 Rebates will not be credited to a Member's partnerCard against meeting and event bookings, rooms expenditure at travel trade or staff rates, aircrew rooms, complimentary rooms, rooms or meals which form part of a tour operator package, purchases of Millennium & Copthorne giftVouchers, gift tokens or foreign currency or purchases or expenditure at retail outlets and sports or health and fitness clubs in a Participating Hotel (unless otherwise stated on the Website).

1.11 A Member cannot obtain a Rebate on transactions on which a Member has also redeemed a Rebate.

1.12 The maximum Rebate, which can be accrued on a partnerCard, is Euro 5000. Rebates in excess of the maximum Rebate will not be accrued on the Member's partnerCard.

1.13 Rebates must be redeemed within two (2) years from the date on which they were credited, after which time they will automatically cease to have any value and may not be redeemed in accordance with these Terms and Conditions.

1.14 Rebates can only be obtained in accordance with the Terms and Conditions. Rebates cannot be credited retrospectively.

1.15 Rebates can only be redeemed after they have been credited to a Member's partnerCard. There may be a short delay between earning a Rebate and a Rebate being credited to a Member's partnerCard.

1.16 Rebates may be cancelled without notice from MILLENNIUM partnerCard if the payment by the Member of the Participating Hotel or Restaurant bill to which the Rebate relates is cancelled, rejected, fails to clear or is refunded.

How to Redeem Rebates

1.17 When the total Rebate on a Member's partnerCard reaches Euro 25 that Member can use that Rebate as a discount against that Member's future hotel bills or Restaurant bills at a Participating Hotel in accordance with these Terms and Conditions. Rebates of less than Euro 25 cannot be redeemed.

1.18 To redeem a Rebate, a Member must:
(a) provide his/her partnerCard membership number on booking into a Participating Hotel or its Restaurant;
(b) present his/her partnerCard to the receptionist when the Member checks-in at the Participating Hotel;
(c) before paying the hotel bill or placing orders at the Restaurant present his/her partnerCard, and indicate that the Member wishes to redeem part or all of his/her Rebate, and the amount of Rebate the Member wishes to redeem.

1.19 Rebates may only be redeemed against a bill at a Participating Hotel or its Restaurant. Any outstanding balance must be paid for personally by the Member at the same time.

1.20 On paying a Participating Hotel or Restaurant bill Members are required to check that the Rebate has been correctly redeemed.

Other Rebate Details

1.21 Members can find out the amount of Rebate on their PartnerCard by:
(a) asking a receptionist when the Member is at a Participating Hotel; or
(b) checking the Member's partnerCard account on the Website; or
(c) telephoning MILLENNIUM partnerCard on the partnerCard helpline.

1.22 Members cannot redeem the Rebate on their partnerCard for cash or other consideration at any time. Credited Rebates can only be used as a discount at Participating Hotels in accordance with these Terms and Conditions.

1.23 Members cannot transfer the Rebate credited to their partnerCard to another person's partnerCard. Rebates are not transferable and may not be sold, bartered or exchanged in any way.

1.24 The currency in which the Rebate is calculated is the Euro. If a Rebate is credited or redeemed in another currency (where the Participating Hotel or Restaurant bill is not in Euros) then MILLENNIUM partnerCard's exchange rate in force on the day on which the Rebate is earned or redeemed will be applied to convert the Rebate from Euros.

1.25 Participating Hotels act solely as MILLENNIUM partnerCard's agents for the purpose of awarding and redeeming Rebates, and therefore have no liability to any Member. MILLENNIUM partnerCard is the only party responsible to the Member for the awarding and redeeming of Rebates.

1.26 A Member can only be credited with or redeem Rebates at hotels, which are Participating Hotels at the time that Member seeks to earn or redeem the Rebates (i.e. on payment of a Participating Hotel or Restaurant bill).

PartnerCard Details

1.27 The partnerCard is issued by MILLENNIUM partnerCard to the Member. The partnerCard remains, at all times, MILLENNIUM partnerCard's property.

1.28 The partnerCard is personal to the Member. Members cannot transfer the partnerCard to another person.

1.29 The partnerCard is (subject to Clause 8.1) exclusively the Member's partnerCard. The partnerCard is personal to the Member. Members may not transfer or assign their partnerCard (or any interest in it). A Member cannot share the partnerCard with another person. A Member may only have one partnerCard.

1.30 MILLENNIUM partnerCard may transfer or assign the operation, administration or benefit of the partnerCard and these Terms and Conditions to another person or corporation, subject to MILLENNIUM partnerCard telling the Member that MILLENNIUM partnerCard has done so.

1.31 Members are required to keep their partnerCard and its details (including its log in details, security password p.i.n. or account number) confidential. MILLENNIUM partnerCard shall have no responsibility to the Member if that Member's partnerCard is used fraudulently or in an unauthorised manner. If a Member's partnerCard is stolen or is lost or the Member becomes aware that an unauthorised person has access to their partnerCard or its security details the Member must contact MILLENNIUM partnerCard on its helpline immediately so that MILLENNIUM partnerCard can take steps to ensure that that partnerCard cannot be used. MILLENNIUM partnerCard will (once it is satisfied that all reasonable and necessary steps have been taken to limit the risk of fraud) then issue a new partnerCard to the Member and transfer the partnerCard Rebate balance on the cancelled partnerCard to the Member's new partnerCard.

1.32 The partnerCard is not a charge, credit or debit card. Rebates can only be redeemed at Participating Hotels in accordance with these Terms and Conditions, and cannot be redeemed for cash.

1.33 partnerCard's may not be held by any employee of any Participating Hotel.

1.34 A person must be a natural person and over 18 years of age to qualify as a Member and to have a partnerCard. Companies may not hold a partnerCard or be a Member.

1.35 Participating Hotels and MILLENNIUM partnerCard may request the Member to produce additional identification before allowing use of that Member's partnerCard and if no such acceptable identification is produced then Participating Hotels and MILLENNIUM partnerCard may refuse to accept the partnerCard or otherwise allow its use in accordance with these Terms and Conditions.

Limitations and Exclusions of Liability

1.36 MILLENNIUM partnerCard is solely responsible to the Member for the partnerCard, its operation, use and administration and the award and redemption of Benefits and Rebates. The Participating Hotels act only as MILLENNIUM partnerCard's agents for the purposes of the award and redemption of Benefits and Rebates. Therefore the Participating Hotels and (except for MILLENNIUM partnerCard) the Millennium & Copthorne Group (and any companies connected to any of them for the operation, management or ownership of the relevant hotel) shall have no liability whatsoever to the Member or any person claiming otherwise) for the partnerCard, including without limitation its operation, or administration, the provision of Benefits or the awarding and redeeming of Rebates.

1.37 MILLENNIUM partnerCard shall have no liability to the Member for any loss, liability or damage arising from the Member's stay at, or use of a Participating Hotel or Restaurant, which does not relate to the partnerCard and its use.

1.38 Nothing in these Terms and Conditions shall limit MILLENNIUM partnerCard's liability for death or personal injury arising from MILLENNIUM partnerCard's negligence, or for fraudulent misrepresentation.

1.39 Subject to Clause 9.3, MILLENNIUM partnerCard shall not be liable to the Member for any indirect loss or liability (howsoever arising whether in contract, tort, negligence or otherwise), incurred by the Member including without limitation as a result of MILLENNIUM partnerCard's (or MILLENNIUM partnerCard's agent's) failure to comply with the Terms and Conditions, even if that liability has arisen due to MILLENNIUM partnerCard or MILLENNIUM partnerCard's agent's negligence.

1.40 Rebates or Benefits of the partnerCard may give rise to a tax liability. Members should take professional advice as to their tax position. MILLENNIUM partnerCard shall have no liability to Members for any tax liability, duty or other charges arising in relation to their use or possession of the partnerCard.

1.41 Subject to Clause 9.3 the maximum liability of MILLENNIUM partnerCard shall in no circumstances (whether in contract, tort or otherwise, including without limitation liability arising from MILLENNIUM partnerCard's negligence) exceed the value of Rebates due to a Member pursuant to these Terms and Conditions.

1.42 Subject to Clause 9.3 MILLENNIUM partnerCard shall have no liability to a Member in any circumstances (whether in contract tort or otherwise, including without limitation liability arising from MILLENNIUM partnerCard's negligence) for any economic loss or loss of profit (whether direct or indirect) in relation to the use of the partnerCard (including without limitation for MILLENNIUM partnerCard's or its agents' breach of these Terms and Conditions or negligence), except that nothing in this Clause shall exclude MILLENNIUM partnerCard's responsibility to award and redeem Rebates in accordance with these Terms and Conditions.

1.43 Subject to Clause 9.3 MILLENNIUM partnerCard or its agents shall have no liability under these Terms and Conditions in contract, tort or otherwise, including without limitation in negligence to any person who is not a Member, including without limitation members of the Member's family, travelling companions, business colleagues, or persons dining or staying with the Member.

1.44 The Member shall indemnify MILLENNIUM partnerCard, the Participating Hotels the Millennium & Copthorne Group (and any companies connected to any of them) against any claims, actions, proceedings, demands and all direct or indirect damages, costs, liabilities and losses (including without limitation economic loss or loss of profit) arising directly or indirectly from a Member breaching these Terms and Conditions, a Member misusing the partnerCard, any fraud by the Member and any breach of Clause 8.5 by the Member.

Variation

1.45 These Terms and Conditions, the Participating Hotels, the range of Benefits, the level of Rebate and all other details of partnerCard will change from time to time. MILLENNIUM partnerCard will give Members one (1) month's notice if MILLENNIUM partnerCard makes a significant change to these Terms and Conditions.

1.46 The Website has up-to-date details of partnerCard, the Participating Hotels and the Benefits and Rebates including a copy of the current Terms and Conditions.

Termination

1.47 A Member can terminate his/her use of partnerCard at any time by calling MILLENNIUM partnerCard on its helpline and confirming termination to MILLENNIUM partnerCard in writing.

1.48 MILLENNIUM partnerCard can terminate a Member's partnerCard at any time by one (1) month's notice in writing to a Member's last known address kept on MILLENNIUM partnerCard's records.

1.49 MILLENNIUM partnerCard may terminate a Member's partnerCard immediately by notice in writing to the Member if:
(a) the Member becomes or is reasonably likely to become insolvent;
(b) the Member breaches any of these Terms and Conditions;
(c) MILLENNIUM partnerCard has reason to believe a Member's partnerCard is being misused or fraudulently used;
(d) a Member has supplied false or misleading information to MILLENNIUM partnerCard;
(e) a Member has been abusive or offensive to any member of staff at MILLENNIUM partnerCard, or any Participating Hotel or Restaurant;
(f) a Member has been involved in any theft from or misconduct in connection with MILLENNIUM partnerCard or a Participating Hotel or Restaurant.

1.50 Once use of a partnerCard has been terminated it cannot be used including without limitation for earning and redeeming Rebates. The only exception is where MILLENNIUM partnerCard has given notice to a Member terminating his/her partnerCard under Clause 11.2. In such a case the Member shall have three (3) months from the date of that notice to redeem all Rebates in accordance with these Terms and Conditions.

1.51 Termination for any reason is without prejudice to the rights and remedies of MILLENNIUM partnerCard or the Member, which may have accrued up to termination.

Personal data

1.52 To ensure that MILLENNIUM partnerCard keeps a Member's data accurate, Members must tell MILLENNIUM partnerCard if any of their details on the Application Form changes, such as for example, the Member's address.

1.53 MILLENNIUM partnerCard will only use personal data supplied by the Member in accordance with these Terms and Conditions.

1.54 The personal data which the Member submits on his/her Application Form will be processed by MILLENNIUM partnerCard for the purposes of:
(a) administering the partnerCard Scheme; and
(b) providing Members with details of partnerCard promotions or information about partnerCard, Participating Hotels, Restaurants or the hotels in the Millennium & Copthorne Group which MILLENNIUM partnerCard think might be of interest to the Member.

1.55 MILLENNIUM partnerCard may provide the Member with information of promotions at Participating Hotels by letter, email or telephone.

1.56 MILLENNIUM partnerCard will share the Member's personal data with the Participating Hotels and the Millennium & Copthorne Group. The Participating Hotels may use Members' personal data for the promotions at the Participating Hotels or Restaurants or hotels in the Millennium & Copthorne Group. The Participating Hotels or hotels in the Millennium & Copthorne Group may also contact Member with such information by letter, email or telephone.

1.57 If a Member does not wish his/her personal data to be used for the purposes set out in these Terms and Conditions, the Member must tick the relevant box at the bottom of the Application Form.

1.58 MILLENNIUM partnerCard acknowledge that some of the personal data, which the Member provides on the Application Form, may be classed as "sensitive" (such as data about whether a Member prefers a room with facilities for the disabled). As such data may be sensitive, MILLENNIUM partnerCard needs a Member's explicit consent to process that sensitive data in accordance with these Terms and Conditions. The Member's signature on the Application Form or the sending of the Application Form to MILLENNIUM partnerCard, electronically, will constitute such explicit consent.

1.59 The Millennium & Copthorne Group is an international group and some of MILLENNIUM partnerCard's data processing and storage takes place in the USA and elsewhere in the world. Therefore MILLENNIUM partnerCard may send Members' personal data outside the European Economic Area to a company, which is part of the Millennium and Copthorne Group or its sub-contractor for the purposes of processing, or storing Members' personal data for the uses set out in these Terms and Conditions. MILLENNIUM partnerCard will take reasonable steps to ensure that Members' personal data is only used in accordance with these Terms and Conditions.

1.60 MILLENNIUM partnerCard will not pass or sell Members' personal data to any other third party, except as set out above or otherwise permitted or required by the Data Protection Act 1998.

1.61 If:
(a) a Member does not want his/her personal data to be shared amongst the Participating Hotels or the Millennium & Copthorne Group; or
(b) a Member does not want his/her personal data to be used for the purposes of being provided with information on promotions or other information by MILLENNIUM partnerCard or the Participating Hotels or the Millennium & Copthorne Group, then the Member must notify MILLENNIUM partnerCard on the partnerCard Helpline number which is shown at the end of these Terms and Conditions.

1.62 A Member is entitled to request, in writing, details of the personal data, which MILLENNIUM partnerCard holds about the Member, and, except in limited circumstances, a copy of that personal data. A charge for providing a Member with this data may be imposed. The charge, however, will be no more than that permitted at law. A Member should contact MILLENNIUM partnerCard to make such request.

General

1.63 Only a Member and MILLENNIUM partnerCard shall have any rights under this Agreement. No other person shall have any rights or benefits under these Terms and Conditions or to the partnerCard.

1.64 MILLENNIUM partnerCard may record Member's calls to MILLENNIUM partnerCard to check the quality of services or for training, audit or security purposes.

1.65 If a Member uses the Website (including without limitation for the purposes set out in these Terms and Conditions) its use is subject to the terms and conditions set out on the Website.

1.66 All intellectual property rights in partnerCard belong to or are licensed to partnerCard. Members have no right to use the name "partnerCard" in any way.

1.67 These Terms and Conditions, the Website and MILLENNIUM partnerCard's marketing materials set out the entire agreement between MILLENNIUM partnerCard and the Member. All warranties and conditions not set out in these Terms and Conditions whether implied by statute or otherwise are excluded to the extent permitted by law.

1.68 These Terms and Conditions may not be varied unless expressly varied in writing and signed by a director of MILLENNIUM partnerCard.

1.69 These Terms and Conditions and any dispute or claim arising out of them or any partnerCard are governed by and shall be construed in accordance with English law.

1.70 All disputes or claims arising out of or in connection with these Terms and Conditions or the partnerCard shall be subject to the exclusive jurisdiction of the English Courts to which the parties irrevocably submit.
